Terms of service
1. Purpose and Scope
The BORN member portal is a private digital environment made available to authorized members of the AUTHA Private Members Association (the "PMA"). It provides access to member resources, communications, offerings, products, programs, and related services made available within the association.
These Member Portal Terms govern access to and use of the BORN member portal, including transactions conducted through it.
These Terms supplement and do not replace, amend, or supersede the AUTHA PMA Charter, Bylaws, Membership Agreement, Member Non-Disclosure Agreement, or applicable internal governance and dispute-resolution procedures (collectively, the "PMA Governing Documents"). If these Terms conflict with the PMA Governing Documents, the PMA Governing Documents control.
2. Member Access
Access to the portal is limited to current, authorized PMA members. Portal access is personal to the member and may not be transferred, shared, sublicensed, or made available to a non-member.
Members are responsible for:
maintaining the confidentiality of their login credentials;
providing accurate and current account information;
securing the devices used to access the portal; and
promptly notifying BORN of suspected unauthorized access or account misuse.
BORN may verify membership status and may restrict or suspend portal access when reasonably necessary to protect members, association information, portal security, or the integrity of PMA operations. Membership suspension or termination is governed by the PMA Governing Documents.
3. Confidentiality
Portal content and internal member information are private PMA information unless expressly identified or authorized for public disclosure. Members must handle portal content in accordance with the Member Non-Disclosure Agreement and the confidentiality provisions of the PMA Governing Documents.
Members may not copy, record, reproduce, publish, distribute, disclose, or commercially exploit confidential portal content except where expressly authorized in writing.
4. Permitted Use
Members may use the portal only for lawful personal and association-related purposes consistent with the PMA Governing Documents.
Members may not:
attempt to gain unauthorized access to the portal, another member's account, or connected systems;
interfere with portal security, functionality, or availability;
introduce malicious code, automated scraping tools, or other harmful technology;
misrepresent their identity or membership status;
use portal information to harass, exploit, or harm another person;
resell or redistribute member-only products, materials, or access without written authorization; or
use the portal in a manner that violates the PMA Governing Documents.
5. Member Offerings and Information
BORN may make products, programs, educational materials, events, and other member offerings available through the portal. Availability may be limited and may change without prior notice.
BORN aims to present accurate descriptions, images, pricing, and availability information. Minor differences may occur, including differences in packaging, appearance, sourcing, or natural product characteristics. BORN may correct an error, update information, or cancel an affected order if material information was inaccurate at the time the order was submitted. If payment has already been collected for a cancelled order, the applicable amount will be refunded.
6. Orders and Payment
Submitting an order is an offer to purchase the selected member offering. An order is accepted when BORN confirms acceptance or begins fulfillment. BORN may decline or limit an order for legitimate operational, inventory, security, payment, or membership reasons.
Prices are shown in CAD unless otherwise stated. Applicable taxes, shipping charges, and other disclosed fees will be shown before the order is completed.
Payments may be processed by third-party payment providers. Members agree to provide accurate billing information and authorize the applicable charges shown at checkout.
Returns, refunds, replacements, and order issues are governed by the Member Order & Return Policy.
7. Product Responsibility
Members are responsible for reviewing product labels, ingredient lists, storage directions, usage instructions, warnings, and allergen information before using or consuming a product.
Information provided through the portal is for general educational and informational purposes. It is not individualized medical advice and is not a substitute for advice from a qualified healthcare professional. Members should seek appropriate professional guidance regarding personal health conditions, allergies, medications, pregnancy, nursing, or other circumstances that may affect product suitability.
Do not use or consume a product if its safety seal is broken, its packaging appears compromised, or there is reason to believe it was damaged, contaminated, or improperly stored. Contact BORN at hello@bornsoverign.me.
8. Intellectual Property
Unless otherwise stated, portal design, text, images, recordings, educational materials, product materials, trademarks, and other original content are owned by or licensed to BORN, AUTHA, or the applicable contributor.
Member access does not transfer ownership. Members receive a limited, revocable, non-transferable right to access and use portal materials for authorized personal and PMA purposes.
9. Third-Party Services
The portal may rely on or link to third-party services, including payment, hosting, communications, analytics, and delivery providers. Those services may operate under their own terms and privacy practices. BORN is not responsible for an independent third party's systems or conduct, except to the extent responsibility cannot lawfully be excluded.
10. Portal Availability
BORN may maintain, update, modify, or temporarily interrupt the portal. Continuous or error-free access is not guaranteed. BORN will take reasonable steps to protect portal integrity and restore access when practical.
11. Responsibility and Legal Rights
Members use the portal and member offerings in accordance with the PMA Governing Documents and these Terms. To the extent permitted by applicable law, BORN is not responsible for indirect or consequential loss arising solely from portal interruption, member misuse, unauthorized credential sharing, or failure to follow disclosed product instructions.
Nothing in these Terms excludes, restricts, or waives a right or remedy that cannot lawfully be excluded, restricted, or waived.
12. Internal Resolution
Questions or concerns should first be directed to hello@bornsoverign.me so that BORN can attempt a direct resolution.
Disputes relating to PMA activities are addressed through the negotiation, mediation, and internal tribunal procedures described in the PMA Governing Documents, subject to any rights or obligations that apply under governing law.
13. Changes to These Terms
BORN may update these Terms to reflect changes to portal operations, member offerings, technology, or applicable requirements. Material updates will be communicated through the portal, by email, or through another reasonable member communication channel.
An update to these Terms does not amend the PMA Governing Documents. Any amendment to a PMA Governing Document must follow the amendment process applicable to that document.
